1. About these Terms
These Terms & Conditions (“Terms”) govern your use of Ahalo, its iOS and Android applications, and its related website at https://getahalo.com/ (together, the “Services”). “NYNI,” “we,” “us,” and “our” mean NYNI LLC, the operator of Ahalo. “You” means the person using the Services.
These Terms apply only to Ahalo. Additional terms presented before you use a particular feature supplement these Terms and take priority for that feature if they conflict. These Terms do not govern third-party services reached through Ahalo.
By accepting these Terms or using the Services after being given a reasonable opportunity to review them, you agree to them. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle personal information; accepting these Terms does not itself provide consent to optional tracking or other processing that requires separate consent.
2. Eligibility
You must be at least 16 years old to use the Services. If you are 16 or 17, or otherwise below the age of legal adulthood where you live, you may use the Services only where permitted by law and with the permission and supervision of a parent or legal guardian who agrees to these Terms. You must have legal authority to enter this agreement. Any higher age requirement imposed by applicable law also applies.
3. Permission to use the Services
Subject to these Terms and applicable app-store rules, we grant you a limited, non-exclusive, non-transferable license to install and use our apps on devices you own or control for personal, non-commercial purposes. Family sharing and similar access permitted by the applicable store remain allowed. This license does not transfer ownership of our software or content.
You are responsible for your device, internet connection, and associated charges. Some features require network access, sufficient storage, device permissions, or supported software versions. You may decline optional permissions, although the associated feature may then be unavailable.
4. Ahalo and search results
Ahalo helps identify films from dialogue or descriptions and may display matching subtitle excerpts, film information, and links to viewing providers. It uses text matching and numerical representations of text called embeddings to search a film-subtitle catalogue. It does not provide a chatbot or generate conversational answers using a large language model. Voice input, where available, converts speech to editable text on your device; submitted search text is processed as described in the Privacy Policy.
Search results, automated matches, transcriptions, timestamps, and third-party information may be incomplete or inaccurate. Viewing availability and prices can change and may depend on your location. Check details with the relevant provider before relying on them or making a purchase.
Ahalo does not supply a subscription to a streaming service or grant rights to view, download, copy, or distribute a film. Film titles, artwork, subtitles, trademarks, and other third-party material remain subject to their owners’ rights. A result or link does not imply an endorsement or affiliation.
5. Acceptable use
You must not:
- Use the Services unlawfully, infringe another person’s rights, or submit content you are not entitled to use.
- Introduce malicious code, interfere with operation, or attempt unauthorized access to systems or data.
- Bypass access controls, advertising-consent controls, security measures, or usage limits.
- Extract substantial portions of our databases or use automated requests that materially disrupt the Services without permission.
- Copy, resell, or commercially exploit the Services except as expressly permitted.
- Reverse engineer or modify our software except where applicable law or an applicable open-source license permits it.
Do not include confidential information or unnecessary personal information in search queries or feedback.
6. Your submissions and feedback
You retain any rights you have in text and other material you submit. You give us a limited permission to process, transmit, and reproduce your submissions to provide the requested feature, respond to you, keep the Services secure, and handle them as described in the Privacy Policy. This does not transfer ownership of your submissions.
If you voluntarily suggest a product improvement, we may implement the idea without payment or attribution. This does not permit us to publish your personal information or confidential material contrary to the Privacy Policy or applicable law.
7. Advertising and third-party services
Some Services display advertisements, including advertisements supplied through Google AdMob. Advertising choices and related data processing are explained in the Privacy Policy and applicable privacy controls. Advertising supports access to free features, but does not give advertisers authority to change these Terms.
Third-party websites, stores, advertisers, and viewing providers have their own terms and privacy policies. Transactions with them are between you and the provider. We are responsible for our own obligations under law, but do not control their products, availability, or conduct. Where a link earns us a referral commission, we will disclose that relationship where required.
8. Cost of the Services
Ahalo is currently free to use and does not offer in-app purchases or subscriptions. Your mobile network or internet provider may charge for connectivity or data use, including speech-model downloads. Third-party viewing providers may charge separately for their services.
If we introduce paid features, we will explain their prices and applicable purchase terms before you choose to buy them. Accepting these Terms does not authorize future charges. Your mandatory consumer rights remain unaffected.
9. Intellectual property
We and our licensors retain ownership of the Services, including software, designs, and our branding. Third-party materials and open-source components remain governed by their applicable rights and licenses. These Terms do not restrict rights granted to you by an open-source license.
To report suspected infringement, contact us using the email above and identify the material, its location, the rights involved, and a way to reach you. We may remove or restrict access to material while reviewing a report.
10. Availability, changes, and suspension
We may maintain, update, or change the Services. We will provide notice of material changes where reasonably practicable and as required by law, and will honor any applicable commitments for paid services.
We may restrict access where reasonably necessary to address a material breach of these Terms, unlawful activity, security risks, or a legal requirement. Where appropriate, we will explain the reason and give you an opportunity to resolve the issue. Urgent action may be taken without advance notice. You may stop using the Services at any time.
If we discontinue a paid service, any refunds or other remedies required by law or the applicable purchase terms remain available. Ending use does not automatically erase records that may lawfully be retained under the Privacy Policy.
11. Warranties and responsibility
We will provide the Services with the care and skill required by applicable law. Subject to your mandatory rights, the Services are supplied on an “as available” basis, and we do not promise uninterrupted availability, error-free operation, or that every search will identify the correct film.
To the extent permitted by applicable law, we exclude implied warranties beyond those that cannot lawfully be excluded. We are not responsible for business losses arising from personal use of the Services or losses that were not reasonably foreseeable when this agreement was formed.
Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence, or any other responsibility that applicable law does not allow us to exclude or limit. Your mandatory consumer rights remain unaffected.
12. App-store terms
Your use of an app is also subject to the applicable store’s usage rules and third-party agreements, such as your mobile service agreement. For apps downloaded from Apple, Apple’s standard Licensed Application End User License Agreement applies to the app license unless a valid custom license is expressly supplied in the App Store listing. These Terms supplement that license for our Services; they do not replace or restrict rights provided by it or by mandatory law.
13. Governing law and disputes
These Terms do not designate an exclusive governing law. Applicable law is determined under the rules of the court or other authority dealing with the dispute. You retain any mandatory protections available under the laws of your place of residence.
Please contact us first if you have a concern so we can try to resolve it. This does not prevent you from using a regulator, dispute-resolution procedure, or court available under applicable law. These Terms do not require you to bring a claim in an exclusive location and do not impose mandatory arbitration or a class-action waiver.
14. Changes to these Terms
We may update these Terms and will show the new effective date. For material changes, we will give reasonable notice through the Services or another appropriate channel and obtain renewed agreement where required. Changes will not retroactively remove rights arising before they take effect. If you do not agree to an update, you may stop using the affected Services, subject to any applicable refund rights.
15. General provisions and contact
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision immediately is not a waiver. We may transfer this agreement as part of a legitimate business reorganization or sale only if your rights are not materially reduced, and will provide any legally required notice.
